APPOINTMENT OF NEW DIRECTOR
The board of directors can at any time appoint a person, subject to his consent, to be a member of the board of directors, or in other words, an appointment of a new director is subject to the approval from the board of director of a company.
A board of directors is a body of elected or appointed members who jointly oversee the activities of a company or organisation.
The number of the Directors all of whom shall be natural persons shall at least 1 nor unless otherwise determined by the Company from time to time in General Meeting by Ordinary Resolution be more than Nine (9).
Any person, who is willing to be accepted or appointed as a director of a company incorporated in Malaysia, needs to declare himself on the following:
1. He is not an undischarged bankrupt;
2. He has not been convicted whether within or
without Malaysia of
any offence;
3. He has not been imprisoned for any offence
within the period of
five years immediately preceding the date of his
declaration;
and
4. He consents to act as Director.
